ZAHEL TRUST AND FOUNDATION EOOD ("The Company"), with its registered office at Stefan Verkovich 3 4000 Plovdiv (BG), is the owner of the license to use the mobile app software solution named SwattRacing ("SwattRacing"), which provides its registered users ("Users") an innovative service of gamification based on athletic and sports performance.
SwattRacing integrates the use of utility tokens called Satori ("Satori"), which function as an internal currency to reward Users and facilitate transactions within the app.
By completing the registration process on SwattRacing and using the services offered, the User agrees to be bound by the terms and conditions of use outlined here (the "Terms of Use").
The User also declares to have the legal capacity to enter into binding contracts and to not be in any case precluded from using the services according to the applicable laws in the jurisdiction of residence or use.
These Terms of Use may be updated from time to time to reflect regulatory, technical, or commercial changes. The User is required to periodically review the Terms of Use, and the continued use of SwattRacing will constitute acceptance of any changes made.
The Company commits to ensuring that the use of SwattRacing is in accordance with the principles of fairness and transparency, safeguarding the security, privacy, and personal data of the Users in compliance with the General Data Protection Regulation (GDPR) and other applicable privacy laws.
This document is an integral part of any agreement between the Company and the Users and must be read in conjunction with the Privacy Policy, the Cookie Policy, and any other document that the Company deems necessary to provide to ensure a clear and transparent service.
2.1Managers, Athletes, Teams, and Tournaments
Users of SwattRacing can take on the role of either manager or athlete. Managers form and manage teams of athletes (hereafter referred to as "Teams") through an auction system to engage players, as detailed in paragraphs 2.2 and 2.3. These Teams compete in Arenas (the "Tournaments") that occur periodically according to a schedule available on SwattRacing. The Team that wins each Tournament can be awarded specific prizes.
2.2Engagements and SATORI
To engage athletes, managers must participate in a competitive auction, available daily on SwattRacing (the "Auctions"). Participation in Auctions is exclusively allowed through the use of SATORI tokens, ("SATORI").
Users can acquire SATORI by receiving them from other managers following transactions in the Auctions, or they can buy Satori here.

The Company guarantees users the ability to withdraw Satori at any time upon the user's request, to facilitate participation in Auctions.
However, it should be noted that the withdraw of Satori may be subject to limitations if the amounts are less than the established minimum value of 25.00 Euros.
This threshold value may be subject to changes in response to fluctuations in transaction costs and fees from Third Parties, and any changes will be communicated promptly to Users.
The Satori transferred to SwattRacing for conversion into SATORI are kept in a dedicated cryptographic wallet managed by the Company, called Convertible Token Wallet.
Consequently, the SATORI balance in the user's SATORI Account reflects a debt commitment by the Company in the Convertible Token Wallet, establishing a corresponding right for the user to request and obtain the credit of an equivalent amount of Satori in their personal wallet.
2.3Auctions and Tournament Registration with Buy-In
The Auctions in SwattRacing take place in accordance with a notice published on the platform, which details the rules, auction base, bid increments, and start and end times.
Each Auction, once opened, continues uninterrupted until the scheduled daily end. Unless otherwise indicated in the notice, the Auctions start at 8:01 p.m. and conclude at 8:00 p.m. the following day.
It is acknowledged that, due to the technical peculiarities of the networks, the timers on the Platform may not be precise and should be considered as a mere approximation of the actual time.
The Auctions within SwattRacing are exclusively conducted through a buy-in system. Each manager, to participate in a Tournament, must register by selecting an Arena of a Tournament and paying a buy-in in SATORI. The amount of the buy-in will be clearly specified on the platform for each available Arena.
Registration and Auction Procedure:
Arena Registration:
At the time of registration for a Tournament's arena, the manager will be charged the amount of the buy-in in SATORI corresponding to the selected Arena.
Participation in the Auction:
After registration, the manager will receive a number of auction tokens equal to the amount of the buy-in paid. These tokens will be usable to make bids for the purchase of athletes during the Auction associated with the Tournament.
Non-Conversion of Auction Tokens:
The auction tokens obtained through the buy-in are exclusively intended for use in the auction and cannot be converted back into SATORI.
Prize Pool:
The prize pool of each Tournament will be determined as an aggregate percentage of the buy-ins paid by the managers for that specific arena.

Charging and Crediting of SATORI:
The specifics of each Tournament, including details on the Arena, the prize pool, and the percentage of SATORI allocated to the awarded athletes, will be transparently published on the gaming platform.
2.4SatorWatts
In order to participate in the Auctions with a reference quotation, SwattRacing assigns each athlete user a score based on their physical activity using an algorithm that rewards not only athletic performance but, above all, the consistency of physical activity (the Sator Value). The Sator Value algorithm is therefore designed to encourage competition among Teams made up of a heterogeneous formation of athletes with different athletic abilities.
The Sator Value algorithm is described in the section 2.2 Game Regulations of SwattRacing. The Company, upon request from the User community, reserves the right to modify the algorithm as well as the attribution of the Sator Value with 30 days' notice.
The data for calculating the Sator Value are collected by SwattRacing through sensors normally installed on mobile devices (smartphones) when the app is active. The User acknowledges and accepts that the sensors may provide inaccurate data and that the network or mobile device may not function correctly, and therefore the Sator Value attributed to them may not be accurate.
The profiling algorithm of the Sator Value is described in the section 2.2 Game Regulations of SwattRacing.
The Holder processes the User's personal data for the profiling described above only upon explicit and specific consent given by the User at the time of registration on SwattRacing. The aforementioned consent is necessary to play on SwattRacing and is therefore a necessary condition for the registration of an account on SwattRacing.

Any transaction costs and fees applied by Third Parties for transferring Satori to the Convertible Token Wallet, are borne by the User. The User acknowledges that Third Parties may vary their costs and fees, which are not controllable by the Company.
On the other hand, all transaction costs and fees applied by Third Parties for transferring Satori from the Convertible Token Fund to the Users' Wallets, are borne by the Company.
Under articles 13 and following of Legislative Decree 70/2003, the Company is obliged to intervene promptly to remove illegal content and, in particular, content that is libelous or defamatory, contrary to public order, or that constitutes a violation of the right to a name and image, the right to privacy, and the protection of personal data.
Users are therefore invited to promptly report to the Company at the address [email protected] any violation of the law, even suspected, committed on SwattRacing.
The Company has adopted a strict policy of preventing illicit activities in respect of the prerogatives of the law and the adversarial process with the interested parties. In this perspective, SwattRacing reserves the right to delete or suspend as a precaution the accounts of Users who have engaged in illicit conduct that has been ascertained or is under investigation according to the aforementioned regulations.
Users are therefore aware that the Company has the right to close the accounts or deny access to the User who has been the subject of reports or who has otherwise engaged in conduct in violation of the law or these Terms of Use.
Nonetheless, the right of the excluded or suspended User to convert any SATORI lying in their SATORI Account remains unaffected.
The Company is the exclusive holder of all intellectual and industrial property rights contained in SwattRacing and/or published on the website www.SwattRacing.com, such as, by way of example, layout, images, texts, graphics, domains, and trademarks (e.g., Sator, Satori, and SwattRacing).
Unauthorized use of the content published in SwattRacing or on the website www.SwattRacing.com constitutes a violation of the law and will be pursued by the Company in civil and criminal courts.
The Company does not provide any warranty regarding the accuracy or completeness of the contents available on SwattRacing.
Users acknowledge that blockchain technology and its practical applications are novel and can be classified as "emerging technologies" whose effects and functioning are still uncertain. For these reasons, the Company does not guarantee the effects and operation of the Platform and the smart contracts executed on it.

Users also acknowledge that: (i) computer programs operating on the Platform (smart contracts) are inherently subject to a degree of unpredictability; (ii) the Platform and SwattRacing itself may be subject to defects, digital virus infections, cyber attacks, or other technical malfunctions that may lead to unexpected failures and service interruptions.
In light of the foregoing, Users acknowledge that the Company, except in cases of fraud or gross negligence, provides SwattRacing "as is," that is, excluding liability towards them, particularly with reference to the correct and timely execution of transaction and conversion operations of Satori.
These Terms of Use regulate the relationship between the Company and the User from the conclusion of the account opening process for an indefinite period and in any case until cancellation or removal of the account.
Both the Company and the User may withdraw from these Terms of Use at any time without the need to provide a reason. The User's withdrawal must be executed by canceling their own account through the appropriate modification and deletion tool available in the "settings" section of their profile.
For access and operation of SwattRacing, the User must provide certain personal data such as, for example, email, name, surname, nickname, nationality, photo, etc. The personal data is published on the User's personal page and may be visible to other Users.
The Company has a particular interest in the confidentiality and protection of Users' personal data and adopts the best security technologies to ensure their rights.
Notwithstanding the foregoing, Users acknowledge that, due to the nature of the Platform, and particularly the distributed ledger technology employed, the transaction data of Satori is public and that the same are irreversible.
Any other information regarding confidentiality and personal data processed on SwattRacing is published in the Privacy Policy.
The Company may modify these Terms of Use at any time. The updated version is published on SwattRacing and on the website www.SwattRacing.com and will be effective 30 days after publication. During this period, the User has the right to withdraw from the Terms of Use and then cancel their account through the appropriate function in the settings of their account. If no withdrawal is made within the said period, the new Terms of Use are considered accepted by the User.
Users cannot transfer the rights and obligations arising from the acceptance of these Terms of Use.
These Terms of Use are governed and to be interpreted according to Italian law. The court of Milan is exclusively competent in case of disputes on the interpretation and execution of these Terms of Use.
